Most buyers looking at roofing companies right now have never been on a roof. We started as a roofing contractor in Burbank, California, and we still run the trade every day: tear-offs, tile, storm calls, warranty work, the whole thing. That changes what we look for in a company, what we’re willing to pay for it, and how we treat the people who come with it.
The first thing almost every owner asks us is what happens to their people. Every employee who wants to stay gets an offer, from foremen and installers to sales and office staff, with real benefits and manufacturer certification paths behind them. Nobody finds out their job is gone on closing day.
The second question is usually the name on the trucks. You didn’t earn a five-star rating in your market so a buyer could paint over it, and where the local brand carries weight we keep it running. That’s a decision we make with you during diligence, not one handed to you afterward.
What changes is the weight you’ve been carrying alone. As a GAF, Owens Corning, CertainTeed, and Polyglass partner, we bring material pricing and warranty terms most independents can’t reach, plus marketing spend and a call center that answers 24 hoursa day. Same crews, same trucks, better margins.
And what happens to you is your call. Retire clean after a short transition. Stay on and run your market without payroll, insurance, and collections eating your week. Or take a broader regional role and help us grow into the markets next door. We’ve structured all three, and we’d rather build the deal around what you actually want than talk you into a shape that suits us.
These aren’t hard gates. If you’re close on most of them, the conversation is still worth having. Plenty of good companies miss one line item and are exactly what we’re looking for.
Re-roofs, repairs, and service work for homeowners is where we're strongest. Steady commercial work is fine, since we run a commercial division ourselves. Heavy new-construction tract work is usually not our lane.
Enough scale that the business runs on systems rather than on one person's phone. Profitable and reasonably clean books matter more to us than the exact top-line number.
Established roots, repeat customers, and a name people in town recognize. We're buying the position you hold in your market, not just the trucks.
A 4.5-star Google rating or better, a real volume of reviews behind it, and a clean license and complaint history.
Tenured foremen and installers, in-house where possible. Long-term subcontractor relationships work too. Low turnover tells us more about how a company is run than any spreadsheet.
Tell us anyway. A lot of the owners we talk to are twelve to thirty-six months out from wanting to sell, and those turn into the best conversations we have.
We’ll walk through, at no cost and with no obligation:
We know these markets: the tile, the low-slope, the wildfire and Title 24 rules, the monsoon and hail seasons, and how each state’s licensing actually works.
LA County, Orange County, the Inland Empire, San Diego, Ventura. Headquartered in Burbank, and where we can integrate a company fastest.
Northern California, Sacramento, the Central Valley, Oregon, Washington, and Nevada.
Arizona, Nevada, Utah, New Mexico, Colorado, and Texas.
Sitting just outside these lines? Reach out regardless. A strong company in an adjacent market is a reason for us to extend the map, not a reason to pass.
Private equity discovered the trades, and the roofing inbox shows it. Most of what lands there comes from people who’ve never priced a tear-off, never fought a manufacturer over a warranty claim, and never had to find a crew for a Monday when two guys quit on Friday.
We have. Specialist Roofing & Repair is a licensed California roofing contractor (License #1007386) running tile, shingle, metal, low-slope, deck waterproofing, and gutters across Southern California every day. When we look at your P&L, we know which line items are real and which ones are a bad month.

A call with our team, with no bankers and no analysts reading from a script. We learn how you built the business, what you want out of a sale, and what you need to happen for your people. We'll be straight with you about whether it's a fit before you spend real time on it.
Under an NDA, we look at three years of financials, your job and revenue history out of your CRM, your crew roster, and your market position. From that we build LTM revenue and adjusted EBITDA and land on a valuation. You'll see exactly how we got to the number.
We agree on price and structure and sign a non-binding LOI covering purchase price, deal terms, your role after closing, and what happens to the brand. Nothing is locked in yet, but from here we're both committed to getting it done.
Quality of earnings, warranty and callback history, open jobs and backlog, licensing and bonding, insurance and workers' comp mod, vehicles and equipment, material contracts, and your marketing assets: phone numbers, domains, Google profile, and review accounts.
Attorneys on both sides paper the deal: purchase agreement, employment or consulting agreement if you're staying, real estate lease or purchase if you own the yard, and licensing transfer with the CSLB or your state board.
Running in parallel with the legal work. We plan the employee announcement with you, and you tell your team, in person, before anyone else hears it. Then payroll and benefits enrollment, CRM and phone routing, supplier accounts, and the first ninety days of the schedule.
Documents signed, wire sent, deal done. Your crews go to work Monday for a company that already knows their names, and you move into whatever comes next.
Whether you’re ready to sell this year or just want to know what your business is worth, tell us a little about your company. We read every submission ourselves and reply within two business days.

We extend an offer to every employee who wants to stay, including crews, foremen, sales, and office staff. In practice this is the first question almost every owner asks us, and it’s the part of a deal we take most seriously. Your people move onto company health benefits, paid time off, and retirement, plus manufacturer certification and training paths through our GAF, Owens Corning, and CertainTeed partnerships. Office and management roles are matched to the work someone actually wants to do, not slotted into a template.
No, and most owners don’t. Three paths come up most often: retire, with a transition period of roughly sixty to ninety days so handoffs are clean; stay on running your market as a general manager, with payroll, insurance, HR, and collections off your plate; or take a broader regional role helping us grow into nearby markets. We’ll ask what you want early, and structure the deal around it rather than the other way around.
Often, yes. A name that’s been on trucks in a market for twenty years is an asset we paid for, and erasing it would be a strange way to protect that investment. Where the local brand is strong we keep it running, sometimes alongside a “part of the Specialist Roofing family” endorsement. We make that call with you during diligence, not after closing.
Usually we acquire the whole business, which is what most sellers are after. That said, we’ve looked at majority deals where the owner wants to take real money off the table now and keep a stake in what the combined company becomes. If that’s the shape you’re after, say so up front and we’ll tell you honestly whether it’s something we can do.
Eventually, yes. We run ServiceTitan, and shared systems are how we deliver the pricing, marketing, and back-office support that makes joining worth it. But it’s not a closing-day switch. We map the timing during diligence, migrate your history rather than abandoning it, and train your team on our clock. Companies already on ServiceTitan integrate fastest; if you’re on AccuLynx, JobNimbus, or Roofr, we’ve handled those migrations too.
We work from adjusted EBITDA over the last twelve months, meaning your earnings with owner-specific expenses and one-time items added back. From there, the multiple depends on how much of your revenue is recurring or repair-driven, crew tenure, review strength, backlog, warranty exposure, and how attractive your market is to us. We’ll show you the actual math, including the adjustments we made and why. No black box.
Completely. We sign an NDA before you send a single financial statement. We don’t call your employees, customers, suppliers, or competitors for reference checks without your written permission, and site visits are scheduled however you want them explained. You decide when and how your team hears about it, and you tell them yourself, in person, before any public announcement.
That’s a good reason to talk now, not later. We’ll give you a realistic sense of what your business would fetch today and point out the handful of things, like crew retention, review volume, clean books, and customer concentration, that would move that number most between now and when you’re ready. There’s no cost and no obligation, and plenty of our best conversations started three years before a deal.
One conversation, completely confidential, no obligation. Worst case, you walk away knowing what your company is worth.
